For a VAT-registered company, the worst filter is “it has a VAT ID, so it’s fine.” In 2026, the official VAT Register makes it possible to verify much more: the type of registration, the status as a payer or identified person, and information about unreliability. This is only the first layer of control.
COMPANY FORMATION | CZECHIA
ESTABLISHMENT OF S. R. O. | ONLINE | WITHOUT HAVING TO TRAVEL TO CZECHIA
COMPANY FORMATION IN THE CZECH REPUBLIC
FOR SLOVAK ENTREPRENEURS | NO NEED TO TRAVEL TO THE CZECH REPUBLIC
Want to do business in the Czech Republic under your own name and set up a company exactly according to your project?
Establishing a new Czech limited liability company is suitable when a unique brand, registered office, shareholder structure, method of acting of managing directors, amount of capital and business activities are required from day one.
As a Slovak client, there is no need to automatically travel to the Czech Republic to establish a company. The entire process can be arranged remotely and, depending on the specific setup, representation or an online notarial procedure can be used. The trade name will be checked, a registered office in Prague or Brno will be provided, incorporation details will be prepared, and the notary, trade licences and registration in the Commercial Register will be coordinated.
After the company is formed, the next tax regime is chosen according to the actual business activities. The company may start as a non-VAT payer, for selected cross-border transactions it may register as an EU VAT payer – an identified person under Sections 6g to 6l – or, after meeting the conditions, enter the regime of a standard Czech VAT payer under Sections 6 to 6f. The process and coordination will be prepared, but the registration itself is decided by the Czech tax authority.
Support is also provided in setting up access and optional management of the data box on mojedatovaschranka.cz, bank onboarding and handover of documents to an authorised Czech accounting firm. Accounting services are not provided directly, but a suitable partner can be recommended and arranged.
A Czech limited liability company can be established by a Slovak individual or a Slovak legal entity. The minimum contribution of one shareholder can be as low as CZK 1, but the practical amount of capital is set according to credibility and planned costs. If timing is crucial, incorporation is compared with the purchase of a ready-made company. A specific recommendation is provided based on the intended goal.

Who the establishment of a Czech S. R. O. is suitable for
Tailor-made company formation is ideal for an entrepreneur who has a clear company name, ownership structure and a longer-term plan. It is suitable when there are multiple partners, an investor, special rights attached to shares, regulated activities, or when a clean company history under one’s own brand is required from the very beginning.
This route is often chosen by Slovak companies during expansion, e-shops, technology startups, construction and staffing companies, consultants, as well as entrepreneurs who need a Czech entity for local partners. If a company is needed in an extremely short time frame, ready-made may be faster. If precise setup is more important, tailor-made formation is often the wiser choice.
Establishing a Czech company without traveling to the Czech Republic
As a Slovak client, the standard incorporation process can be completed without a personal trip to the Czech Republic. All documents are prepared in advance, the signing procedure is explained, and, depending on the specific case, representation is arranged on the basis of a power of attorney or via an online notarial act. There is no need to search for a Czech notary, handle communication with authorities, or coordinate individual steps in a foreign legal environment.
At the beginning, a precise list of required documents and signatures is provided. Verifications can be scheduled so that they can be completed in Slovakia. The completeness of the documentation is then checked, it is handed over to Czech partners, and the entire process is monitored up to the company’s registration. A personal visit may only be necessary for an individual act that requires it – typically according to the requirements of a specific bank or in the case of a non-standard legal setup. This is communicated in advance, before ordering the relevant service.
The advantage is that the company formation process does not block the work schedule. The name, registered office, ownership structure, and activities are decided internally; the Czech procedural part is handled externally.
What you gain
The result is a new Czech limited liability company registered in the Commercial Register with an assigned company ID number, its own business name, registered office and selected business activities. After registration, the legal entity automatically obtains a data mailbox through which it communicates with the authorities.
The founding documentation, extracts and information about further obligations are handed over. Depending on the package, an authorized accounting partner is connected and the registration for corporate income tax, VAT process, bank account and other practical steps are coordinated.
How the company formation process works

1. Initial Consultation
It explains who will be the owner, who will be the executive, what the company will do, where it will be based, and whether it needs VAT registration. It highlights regulated activities and cross-border tax issues.
2. Name, Registered Office and Structure
We will verify the usability of the company name, choose the registered office, and set up the shares, capital, and method of representation. In the case of multiple partners, it is recommended to also consider decision-making, transfer of shares, and conflict resolution.
3. Deed of Foundation and Notary
We prepare the documents for the deed of foundation or the articles of association and coordinate the notarial act. For a standard company formation, we set up the process so that there is no need to travel to the Czech Republic: depending on the specific case, we use representation based on a power of attorney or an online meeting with a notary. In advance, information is provided about which signatures and verifications will be needed in Slovakia.
4. Trades and Registration
The required authorizations and company registration will be arranged. Since 2023, company formation and direct registration by a notary can be procedurally simpler, and the trade license can be handled independently according to the specific procedure.
5. Company Launch
After incorporation, data mailbox management, invoicing documents, bank onboarding, and any necessary VAT registration are set up, and all required information is handed over to the selected authorized accounting partner. If the company will employ staff, payroll and registration administration is added.
Business name and brand
The name must be distinguishable from existing business names and must not be misleading. It is recommended to check not only the commercial register, but also the availability of the domain, social media profiles, and any potential trademarks.
It is advantageous to address the company name and brand at the same time. If the legal name is too long or too technical, it is possible to work with a separate trade brand. Support is provided to align the name, domain, website, and communication so that the identity does not have to be changed later due to an occupied domain or a brand conflict.
Registered office in Prague or Brno
To register a company, a legal reason for using the address is required. If there are no own premises available, a virtual registered office and the owner’s consent can be arranged. Prague is suitable for nationwide and international presentation. Brno is close to Slovakia and is naturally associated with Moravia, technologies, and regional business.
The registered office should also be chosen according to the quality of mail management. The company must be properly marked and needs reliable notification of incoming mail. Electronic communication via a data box should be handled separately.
Trades and scope of business
Free trades cover a wide range of activities, but not every activity is considered free. Craft and regulated trades require professional qualifications or a responsible representative. Some areas are subject to special licences outside the Trade Licensing Act.
It is not recommended to register a random long list of activities just “to be on the safe side”. The activities selected should match the project, with a clear indication of those that require additional permits. Banks and partners often compare the declared activity with actual transactions.
Non-VAT payer, EU VAT payer or CZ VAT payer
After incorporation, not every Czech limited liability company has to have the same VAT regime. The choice depends on who the company will invoice, where it will purchase services or goods from, and whether it will trade mainly in the Czech Republic, Slovakia, or other EU countries. That is why, even before incorporation, the planned transactions are reviewed and three practical options are explained.
Non-VAT Payer
A non-VAT payer is particularly suitable for businesses with lower turnover, local services, or projects where the deduction of input VAT is not a decisive advantage. The company issues invoices without Czech VAT, unless it becomes obliged to register or has a specific cross-border obligation. However, even a non-VAT payer may need the status of an identified person when receiving or providing selected services within the EU.
EU VAT Payer – Identified Person
Under the label EU VAT payer, a regime of an identified person is offered in accordance with the relevant provisions of the Czech VAT Act, in connection with offers made under Sections 6g to 6l. This is a solution for selected cross-border transactions within the EU. An identified person is not a standard VAT payer for regular domestic supplies and generally does not claim input VAT deduction as a full VAT payer. This status is suitable for an entrepreneur who needs a Czech VAT ID for a specific business model but does not require the full Czech VAT payer regime.
CZ VAT payer – standard VAT payer
A CZ VAT payer is a standard Czech VAT payer according to the regime specified for each particular company, in our offer designated under Sections 6 to 6f. If the statutory conditions are met, it can claim input VAT deduction and issues invoices in the VAT payer regime. It is particularly suitable for B2B business, higher initial costs, the purchase of technologies, stock or services with VAT, and for projects where business partners expect a full VAT status.
For voluntary registration, the application and evidence of economic activity are prepared – for example contracts, orders, a business plan, information about suppliers, financing, and the real operation of the company. The Czech tax authority decides on the registration. If VAT status is needed immediately, purchasing an existing ready-made company with EU or CZ VAT may be more effective.
Management of the data mailbox mojedatovaschranka.cz

After registration, a Czech legal entity automatically receives a data mailbox. It is an official electronic communication channel with Czech authorities, functionally similar to the slovensko.sk portal. A message delivered to the data mailbox may have legal effects even if it is not opened in time, so it is not enough to activate it – it must be checked regularly.
Support is available with the first login, setting up authorized persons, e-mail notifications and optional regular mailbox management. As part of the management, a notification is sent about a new message, its secure handover is ensured and, according to the agreed scope, further steps are coordinated. This makes it unnecessary to monitor the Czech portal every day while maintaining control over official communication.
Czech accounting through an authorized partner

Bookkeeping and tax record-keeping are regulated trades in the Czech Republic. This service is therefore not provided directly. Upon request, a Czech accounting partner with the necessary authorization and experience with companies owned by Slovak clients will be recommended or arranged.
The partner can take over the accounting from the incorporation of the company, set up the chart of accounts, process documents, tax returns, payroll, and communication within the scope of their license. Smooth handover of incorporation documents, invoicing details, and information about the chosen VAT regime is ensured. This provides a coordinated start while clearly defining who is responsible for the professional management of Czech accounting.
What is included in the price
Scope of the package will be specified in a written offer. As standard, it may include a consultation, preparation of data, coordination of the founding document and notary, a basic trade licence, a registered office as agreed, and company registration.
Administrative and notary fees according to the chosen procedure, virtual registered office, translations, regulated activities, responsible representative, VAT, accounting, bank services and more complex ownership documentation may be charged separately. Before the process starts, the total budget and assumptions will be known.
The price for establishing a Czech company includes:
- professional consultation, comprehensive advisory services
- drafting of the deed of foundation or articles of association in the form of a notarial deed
- preparation and execution of all other documents necessary for establishing the company
- unlimited number of free trade licences
- arranging notarial services

- guarantee and arrangement of registration of the company in the Commercial Register

Additional costs and actions!
- notary fees, verification of signatures on documents
- bilingual preparation of documents (bilingual documents, optional, only at the client’s request)

What will be needed
- identity documents of the founders and managing directors,
- addresses and contact details,
- proposed business name,
- amount of contributions and shares,
- method of representation by the managing directors,
- registered office address or selection of a virtual office,
- description of activities and required trade licenses,
- information about the ultimate beneficial owners,
- planned markets, customers, and transactions,
- requirements regarding VAT, banking, and accounting.
For a founder that is a legal entity, current company documents and authorization for the person to act will be required. For documents from abroad, verification or translation may be required depending on the case.
What to watch out for
Good setup at the beginning saves later changes and unnecessary costs. The minimum contribution can be low, but running a company needs real financing. That is why the share capital is separated from the business budget in advance and it is clearly defined whether costs will be financed by a contribution, a partner’s loan, or another transparent method.
When managing a company from Slovakia, it is important to align Czech and Slovak obligations. A Czech limited liability company fulfils Czech registration, accounting, and tax obligations, but employees, warehouse, performance of work, remuneration of the executive, or the actual place of management may also create links to Slovakia. These issues are highlighted in time and, if expert assessment is needed, the company is connected with the relevant tax or accounting partner.
We will establish a company and help it gain the market
After registration, there is no need to start from scratch with other suppliers. Here, website creation, SEO optimization, SEO marketing, management of Google Ads PPC campaigns, AI implementation and AI automation all follow seamlessly.
The legal formation of the company, address, accounting data, web analytics, advertising campaigns and lead processing are all connected in one place. Thanks to the synergistic effect under one roof, the business strategy is reflected right from the company name, domain, website structure and automations. JMHZ 2026: what a new Czech limited liability company needs to know when it starts taking on staff
If a new Czech limited liability company wants to employ people in 2026, it needs to know the abbreviation JMHZ. The Single Monthly Employer Report, effective from 1 April 2026, significantly changes the way companies submit data to the state. The system is intended to replace up to 25 different reports with a single electronic monthly filing.
The list of ready-made companies should be a decision-making tool, not just a table of names. In 2026, for a Czech company, at minimum the year of incorporation, VAT regime, registered office, share capital, availability and scope of documentation should be visible – and at the same time it should be clear what will change after the transfer.
A non-VAT payer can be a very practical regime for a newly established Czech limited liability company. However, in 2026 an important rule applies: “I am not a VAT payer” does not mean “I don’t have to deal with VAT”. Even a simple purchase of advertising from Google or Meta, or certain services from abroad, can create the status of...
